ChargeCore Terms and Conditions

In these Terms and Conditions, 'ChargeCore Applications and Services' and 'Applications and Services' refer to the mobile applications and data services operated by ChargeCore Limited, which include: 'ChargeCore Applications', also referred to as the 'Applications'.

In these Terms and Conditions, 'Users', 'you' and 'your', all refer to contributors and/or users of ChargeCore and/or the information published on any of the Applications and Services, and access, the EV charging services (CPO Services) offered by participating charging point operators (CPOs). Users who register with ChargeCore Applications and Services are termed 'Registered Users'.

ChargeCore’s Privacy Policy terms also include details about your personal data rights, your ability to manage any personal information you share across ChargeCore.

Read Carefully

You should read this Terms and Conditions carefully during the registration process, and pay attention to read and fully understand the contents of each clause, especially the clauses that exempt or limit liability, and dispute resolution clauses. The clauses that exempt or limit liability will be marked with bold underline, and you should read them carefully. Unless you have read and accepted all the terms of this Terms and Conditions, you will not be able to register an account or use ChargeCore’s services. If you do not agree with any content of this Terms and Conditions, please stop the registration process immediately. If you have any doubts about the content of this Terms and Conditions (especially the clauses that involve exemption or limitation of liability), you can contact us at any time according to the contact information specified in this Terms and Conditions, and we will explain and clarify the relevant content for you according to your request.

Signing Action

When you register a new account or log in to an existing account, checking the “I have read and agree” button means that you have fully read, understood and accepted all the contents of this Terms and Conditions. Please confirm again that you have known and fully understood all the contents of this Terms and Conditions before deciding to register or use the service. The “service” referred to in this Terms and Conditions includes both the service provided by the charging station operators and platforms connected to the ChargeCore platform that you use with your user account, and the situation where you use your ChargeCore user account to provide services to other companies, individuals or other entities under certain specific business categories. No matter which situation the “service” belongs to, this Terms and Conditions applies.

Civil Capacity

You acknowledge and promise that, you have full civil rights capacity and civil conduct capacity or although you do not have full civil rights capacity and civil conduct capacity but you have obtained the consent of your parents and other legal guardians and registered and used various services of ChargeCore by your parents and other legal guardians. If you do not have the corresponding civil conduct capacity and register an account, you and your parents and other legal guardians shall bear all the consequences arising therefrom in accordance with the law.

Real Identity

Due to the requirements of national laws and regulations, regulatory requirements and specific types of services (such as financial services, etc.), you may need to fill in your real identity information in the specific links of registering or using such services, and you can only use the services after passing the relevant verification process. If the identity information you fill in is incomplete, untrue or fails to pass the verification, it will result in you being unable to use the service, and you will bear all losses and adverse consequences caused to yourself, others, and ChargeCore as a result.

Use of the EV Charging Stations

By utilizing the ChargeCore app and EV Charging Stations that are owned and/or operated by CPOs, you are agreeing to be bound by the terms and conditions outlined in this document.

These terms and conditions govern your use of both the ChargeCore app and EV Charging Stations.

ChargeCore reserves the right to offer the use of EV Charging Stations for the purpose of charging electric vehicles, and we retain the right to deny or temporarily restrict access to any or all of our EV Charging Stations to any individual at any time. This includes individuals who violate these terms and conditions.

We cannot guarantee the availability or compatibility of EV Charging Stations with your EV, nor can we ensure their performance. Additionally, we do not promise an uninterrupted electricity supply to the EV Charging Stations.

We warrant to you that each EV Charging Station complies with all mandatory statutory or other industry safety standards applicable to the operation of EV charging stations.

If there are any faults, errors or defects or there are any issues with any EV Charging Station, you can send us an email at developer@cnpowercore.com; or raise a ticket in the ChargeCore app;

To use an EV Charging Station, you must first register as a user on the ChargeCore app.

Price and Payment

The fees (if applicable) for using EV Charging Stations are determined by the owner of the specific EV Charging Station. You can find the charges for the relevant EV Charging Station in the ChargeCore app. Please note that prices and fees are subject to change without prior notice.

ChargeCore does not provide any warranties with respect to the prices charged, services provided, or electricity supplied by third-party owners or operators of EV Charging Stations.

The fees for using EV Charging Stations are payable via credit or debit card at the time of use.

When you register a credit or debit card with the ChargeCore app, you:

  1. Confirm that the information provided in the ChargeCore app is accurate and that you have permission to use the payment method;
  2. Authorize ChargeCore to charge the fees and other amounts due under these terms and conditions to that payment method;
  3. And agree not to initiate any action to reverse, modify, or otherwise interfere with these charges.

You can change or update your payment method details at any time in the ChargeCore app.

If you pay using your credit or debit card, you will be redirected to a third-party payment platform. The privacy statement of the third-party payment platform is available on their website.

If you fail to pay the charges within the specified time frame, we reserve the right to suspend or terminate your use of EV Charging Stations, and take any necessary enforcement action at your expense.

General User Content

ChargeCore Users may submit content, both comments and data, to the ChargeCore Applications and Services. Comments include text and images posted on ChargeCore comment areas and emails; data includes information about location, performance and status relating to electric vehicle charging equipment and networks submitted via ChargeCore forms or provided via Chat or other mechanisms such as email or telephone.

While ChargeCore Users (or the owner of the content) retain the copyright of the submitted content, by submitting content to ChargeCore, Users are granting ChargeCore an unconditional, irrevocable, non-exclusive, royalty-free, fully transferable, perpetual worldwide license to use, publish and/or transmit, and to authorize third-parties to use, publish and/or transmit User content in any format and on any platform, currently available or invented in the future.

For all content submitted to ChargeCore, Users confirm that they have created that content, or have received permission from, or are authorized by, the owner of any part of the content to submit it to the ChargeCore Applications or Services.

ChargeCore, or authorized third parties, reserve the right to cut, crop, edit or refuse to publish Users' content at their sole discretion.

We have implemented technical safeguards to protect personal information entering the public domain via User contributions submitted on or to ChargeCore in the form of general comments, contributions to discussions, and/or messages to other Users.

User contributions submitted on or to ChargeCore may be reproduced in ChargeCore, including your display name & EV model if relevant. This applies to emails sent to developer@cnpowercore.com which are also subject to these terms & conditions.

Advertising/ Promotion

You understand and agree that, in order to provide you with more detailed and considerate services, after your confirmation, ChargeCore or third-party merchants authorized and recognized by ChargeCore may send you commercial information such as advertising information and promotional discounts for products and services that you may be interested in through the phone number or email address you filled in during registration, The method and scope may be changed without special notice to you; If you are unwilling to receive such information, you have the right to unsubscribe through the corresponding unsubscribe method provided by the ChargeCore platform.

You understand and agree that you should carefully judge the authenticity and reliability of the relevant advertising information mentioned above. Unless otherwise specified by laws and regulations, you should be responsible for any transactions conducted based on the advertising information on your own.

Information Update

You should update your information in a timely manner. In cases where the law clearly requires ChargeCore as a platform service provider to verify the information of some users, ChargeCore will check and verify your information from time to time in accordance with the law. You should cooperate and provide the latest, true, complete, and effective information. If ChargeCore fails to contact you based on the information you provided last time, fails to provide the information as requested by ChargeCore in a timely manner, or if the information you provided is clearly untrue or verified as invalid by administrative and judicial authorities, you will bear all losses and adverse consequences caused to yourself, others, and ChargeCore as a result. ChargeCore may issue you a notice of inquiry or request for rectification, and require you to undergo recertify or even suspend or terminate part or all of your ChargeCore platform services to you is suspended or terminated. ChargeCore is not responsible for this.

Number of Accounts

Except for special circumstances recognized by ChargeCore such as historical reasons and business integration, ChargeCore generally only allows you to use one ChargeCore user account. If there is evidence to prove or ChargeCore has reason to believe that you have improperly registered or used multiple ChargeCore accounts, ChargeCore may merge the relevant account information or take other reasonable measures. If you cause losses to ChargeCore or related parties due to your improper registration or use, you shall also bear corresponding compensation responsibilities. In addition, for relevant business needs, ChargeCore can also merge multiple accounts or related information of the same user. If such a merger will have a substantial impact on your rights, ChargeCore will obtain your consent in advance before conducting the aforementioned merger.

Account Use

You shall be responsible for all the consequences of your actions under your account (including but not limited to signing any agreements online, browsing, charging, paying, entering any content, etc.), and the above actions that occur through your account shall be deemed as your true expression of intent.

Account Lending

To ensure the security of the relevant accounts, without the written consent of ChargeCore, you shall not lend the account registered on the ChargeCore platform to others for use, otherwise you shall bear all the responsibilities arising therefrom. ChargeCore platform reserves the right to refuse to provide the corresponding services, lock or revoke the registered account or terminate this Terms and Conditions, and may require you to compensate ChargeCore for the losses suffered by it.

Security Obligation

If you find any security issues with your account, please contact ChargeCore immediately for investigation and handling. You understand that ChargeCore needs a reasonable time to take action on any of your requests, and the actions taken by ChargeCore at your request may not be able to avoid or prevent the formation or expansion of the damage consequences. Except for ChargeCore’s statutory fault, ChargeCore shall not bear any responsibility for the occurrence or expansion of the losses.

ChargeCore specially reminds you that you should properly keep your account and password, and log out safely after you finish using ChargeCore’s services. You acknowledge and agree that ChargeCore shall not be liable for any loss or consequence caused by your voluntary disclosure, network security vulnerability or your being attacked, defrauded or other behaviors of your account and password. If ChargeCore incurs any expenses as a result, ChargeCore shall have the right to claim compensation from you. When you suspect that someone else is using your account or password, you shall immediately notify the ChargeCore platform, and agree that the ChargeCore platform has the right to lock or close your account.

You are aware and agree that, subject to compliance with laws and regulations or requirements from national authorities, ChargeCore has the right to restrict or lock your registered account. In such cases, you may not be able to continue logging in or using your registered account.

Force majeure

You understand and agree that, in the course of using this service, you may encounter force majeure and other risk factors that may cause interruption or termination of the service under this Terms and Conditions. Force majeure means an objective event that is unforeseeable, insurmountable and unavoidable and that causes significant impact on one or both parties, including:

  1. force majeure factors such as natural disasters, strikes, riots, wars, government actions, judicial administrative orders, etc.;
  2. public service factors or third-party factors such as power supply failure, communication network failure, etc.;
  3. factors such as routine or emergency equipment and system maintenance, equipment and system failure, network information and data security issue, etc.

In the event of the above situations, ChargeCore will strive to cooperate with the relevant departments to repair them in a timely manner, but ChargeCore is exempted from liability within the scope permitted by law for any loss caused to you.

Neither ChargeCore nor any owner of an EV Charging Station will be liable or responsible for any loss, damage or injury that you, your property or any other person may incur under or in connection with these terms and conditions, the EV Charging Stations or the ChargeCore app, including, but not limited to:

  1. Inaccessibility, unavailability or incompatibility of any EV Charging Station with your EV or systems;
  2. Surges or interruption in the supply of electricity or unavailability of electricity;
  3. Errors, omissions, delays or failures in the provision of any information (including in respect of any Data) made available to you;
  4. Any third-party site linked from the ChargeCore app;
  5. Your use or inability to use the EV Charging Stations.
  6. ChargeCore will not be liable for any loss, damage or injury to you, your property or your EV unless such loss or damage is directly caused by:
  7. The gross negligence of ChargeCore;
  8. The willful breach of ChargeCore's obligations under these terms and conditions.

No owner of an EV Charging Station will be liable for any loss, damage or injury to you, your property or your EV unless such loss, damage or injury is directly caused by the gross negligence of that owner in relation to that EV Charging Station.

If, despite any other provision of these terms and conditions, ChargeCore or an owner of an EV Charging Station (each a "Relevant Person") is found liable to you for loss or damage to you or your EV under these terms and conditions, then to the maximum extent permitted by law:

  1. The Relevant Person will only be liable for loss or damage that is reasonably foreseeable and which has not been caused by something beyond that Relevant Person's control, including any act or omission of any third party, any force majeure event, or any breach by you of these terms and conditions.
  2. The Relevant Person's maximum liability to you for any single event or series of related events will be limited to the amount paid by you to ChargeCore in connection with your use of the EV Charging Stations and ChargeCore app during the six-month period preceding the date on which the claim arose.
  3. The Relevant Person will not be liable to you for any other loss or damage arising (whether direct or indirect, special or consequential, pecuniary or non-pecuniary, and whether arising in tort (including negligence) or contract or otherwise) as a result of or in connection with your use of an EV Charging Station, the ChargeCore app, or these terms and conditions.

To the maximum extent permitted by law, you agree to indemnify and hold ChargeCore harmless from and against any and all liability, claims, proceedings, costs, expenses, and damages that ChargeCore may suffer or incur as a result of any damage caused to an EV Charging Station by you or your failure to comply with these terms and conditions.

In the event that any part of this liability section is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Other Disclaimers

You understand and agree that, to the extent permitted by law, ChargeCore shall not be liable for the interruption or termination of service caused by:

  1. damage caused by computer viruses, trojans or other malicious programs, hacker attacks;
  2. failure of computer software, systems, hardware and communication lines of the user or ChargeCore;
  3. improper operation by the user;
  4. the user uses the service in a way that is not authorized by ChargeCore;
  5. other situations caused by non-ChargeCore reasons.

Mitigation of liability

You understand and agree that the ChargeCore is an Internet platform, and may have problems such as data docking and logical errors in data updating. In this situation, if you suffer any loss due to ChargeCore’s reasons, you should mitigate or exempt ChargeCore’s liability.

Information Authenticity

ChargeCore reminds you that, in the process of using this service, you may encounter risks brought by network information or other user behaviors, which include any psychological, physical or economic damage or loss caused by anonymous or impersonated information or behaviors that contain threats, defamation, disgust, illegality, misleading, deception, etc. Please carefully identify and report or complain to ChargeCore or relevant authorities in time when you encounter the above illegal behaviors. ChargeCore will conduct inspections on the relevant content and take corresponding actions when receiving reports or complaints, but please note that ChargeCore is not responsible for the authenticity, applicability or legality of any information that is not issued or published by ChargeCore, nor is it liable for any damage caused to you by third-party infringement.

Limitation of Liability

Unless otherwise expressly stated in writing, in accordance with the provisions of laws and regulations, ChargeCore makes no express or implied representations or warranties of any kind for the information, content, materials, products or services on its website and client. In no event shall ChargeCore platform be liable for any indirect, consequential, punitive, incidental, special or compensatory damages, including loss of profits suffered by you as a result of using ChargeCore platform or this service (even if ChargeCore platform has been informed of the possibility of such losses). 0Notwithstanding any contrary provisions in this Terms and Conditions, ChargeCore platform’s total liability to you, for any reason or by any means, shall not exceed the fees paid by you to ChargeCore platform for the services provided by ChargeCore platform within six months from the date of your claim.

User Commitment

You acknowledge and promise that in the process of using the platform and services provided by ChargeCore, you shall comply with relevant laws and regulations, and shall not engage in any behavior that violates the provisions of laws and regulations, affects the normal provision of services, or harms the legitimate interests of others:

  1. You shall not use ChargeCore platform or related services to endanger national security, undermine political stability, disclose national secrets, infringe the legitimate rights and interests of the state, society, collective and third parties, engage in illegal and criminal activities, set up websites, communication groups for the purpose of committing fraud, teaching criminal methods, producing or selling prohibited items, controlled items and other illegal and criminal activities, or use the network to publish information involving committing fraud, producing or selling prohibited items, controlled items and other illegal and criminal activities;
  2. You shall not engage in the following activities that endanger computer information network security: cracking, destroying, deleting, modifying or adding network services and related software and hardware facilities; deleting, modifying or adding data and applications stored or transmitted in computer information network; using software or hardware and other means to steal passwords of others, illegally intrude into computer systems of others; intentionally producing, spreading computer viruses and other destructive programs; other activities that endanger computer information network security;
  3. You shall not copy and use files that are not publicly and authorized on the network without the express consent of the relevant right holders. You shall not crack, disseminate, download or copy software with third-party copyrights or engage in any other activities that infringe the intellectual property rights of others on the network without authorization;
  4. You shall avoid causing ChargeCore to be involved in political and public events due to your use of ChargeCore related services;
  5. You shall not trade or participate in any activities published by ChargeCore or its authorized third parties by infringing the legitimate rights and interests of third parties, cheating, disrupting the system, implementing network attacks, malicious cashing, bulk registration, using computer simulator to register ChargeCore platform accounts, using machines to simulate clients and other means;
  6. Other behaviors that violate the principle of good faith or damage the legitimate rights and interests of the ChargeCore platform, other ChargeCore platform users, or other third parties;
  7. Other behaviors that violate the requirements of national laws,regulations and this Terms and Conditions, or damage various social public interests or public morals.

Breach Determination

You understand and agree that ChargeCore may stipulate the procedure and criteria for breach determination in the ChargeCore platform rules. For example: ChargeCore may determine whether you have breached the contract based on the relationship between your user data and massive user data; you have the right to fully prove and reasonably explain any abnormal phenomena in your data, otherwise you will be deemed to have breached the contract.

Liability

If you are involved in one or more of the above behaviors in the process of using ChargeCore services, you need to bear legal liability for your own actions. The forms of bearing legal liability include but are not limited to:

  1. If your behavior causes ChargeCore to suffer losses (including direct economic losses, goodwill losses and indirect economic losses such as compensation, settlement, attorney fees, litigation fees, etc. paid to third parties), you shall compensate ChargeCore for all the aforementioned losses. If your behavior causes ChargeCore to suffer third-party claims, ChargeCore may recover all losses from you after assuming obligations such as monetary payment to the third party.
  2. According to the specific circumstances of the violation, ChargeCore has the right to make an independent judgment and immediately suspend or terminate the provision of part or all of the services to you, including locking, canceling, deleting accounts and other measures.
  3. You agree that if your behavior causes economic losses to others, ChargeCore may, based on the principles of public interest protection, consumer protection, commercial interest protection, etc., under the premise of legality and compliance, deduct the corresponding amount from your ChargeCore account, and you agree and authorize ChargeCore to perform the above deduction operation. You acknowledge and understand that if ChargeCore discovers your above-mentioned illegal and irregular behavior, according to the relevant laws and regulations, ChargeCore has the right or obligation to immediately stop the relevant service, delete or block the relevant irregular information, service evaluation, and conduct investigation and evidence collection, save relevant records, or report to the relevant authorities. At the same time, ChargeCore has the right to delete and block any data information containing such content on its own. ChargeCore will record and save the data information that is deleted and blocked according to relevant laws and regulations.

Copyright

All rights in the Applications and Services are reserved. Other than for the personal use, no part of ChargeCore Applications and Services may be reproduced, transmitted or utilized in any form or by any means, electronic, mechanical, photocopying, recording or otherwise, without written permission from ChargeCore.

All intellectual property of ChargeCore such as trademarks, trade names, patents, registered designs, database file structure, database headings, database content, charge point images, connector images and any other automatic intellectual property rights derived from the aesthetics or functionality of the Website remain the property of ChargeCore.

By using the Applications and Services, Users agree to respect the intellectual property rights of ChargeCore and will refrain from copying, downloading, transmitting, reproducing, printing, or exploiting for commercial purpose any material contained within the Applications and Services.

Third Parties

ChargeCore Applications and Services may contain hyperlinks to websites operated by other parties. ChargeCore does not control such websites and we take no responsibility for, and will not incur any liability in respect of, their content.

Mention of third-party products, services, companies and websites on ChargeCore is for informational purposes only and constitutes neither an endorsement nor a recommendation. We assume no responsibility with regards to the selection, performance or use of these third-party products or services.

The Applications and Services may include material submitted by charge point installers and other third parties. ChargeCore excludes all liability for any illegality arising from or error, omission or inaccuracy in such material.

ChargeCore publishes advertisements placed by third parties to advertise their charging point equipment and other goods and/or services. We do not own the charging points, goods and/or services advertised for sale on our Applications and Services and have no liability for these charging points or goods or for any losses that Users may incur as a result of purchasing a charging point, goods and/or any services advertised by third parties.

If a User chooses to purchase a charge point, goods and/or services advertised for sale by third parties on our Applications and Services, the contract will be between the User and the third-party advertiser and not with ChargeCore.

ChargeCore reserves the right to demand that third parties that are linking to ChargeCore Applications and Services to remove the URL link at any time.

Modification

ChargeCore reserves the right to change any part of the Terms and Conditions without notice and use of the Applications and Services will be deemed as acceptance of the Terms and Conditions. ChargeCore advises Users to check the Terms and Conditions at regular intervals. ChargeCore has complete discretion to modify or remove any part of the Applications and Services without warning or liability arising from such action.

Termination of Agreement

This Terms and Conditions shall terminate upon the occurrence of any of the following situations:

  1. ChargeCore has the right to revoke, cancel or delete the user account in accordance with the provisions of this Terms and Conditions. In this case, this Terms and Conditions shall terminate on the date of revocation, cancellation or deletion of the account;
  2. When the account cancellation conditions announced on the ChargeCore platform are met, you can cancel the user account of ChargeCore through ChargeCore's customer service, and this Terms and Conditions will terminate on the date of account cancellation;
  3. ChargeCore has the right to terminate all ChargeCore platform services after reasonable advance notice according to its own business arrangements. This Terms and Conditions shall terminate on the date when all ChargeCore platform services are terminated in accordance with the prescribed procedures and methods.

Information and Processing after Termination

  • After the termination of this Terms and Conditions, for any charging orders generated by you during the term of this agreement, ChargeCore may notify the counter-party and decide whether to close such transaction orders based on their wishes; If the counter-party requests continued performance, you shall continue to fulfill the provisions of this agreement and the transaction order in respect of such transaction order, and shall bear any losses or additional expenses incurred as a result.
  • Post termination information processing includes but is not limited to retaining or disclosing any information from its original ChargeCore account to you, forwarding any information that has not been read or sent to you or third parties.
  • The termination of this Terms and Conditions does not affect the validity of intellectual property policies, privacy policies, and other terms that should continue to be valid based on their contents, nor does it affect the relevant rights and obligations of all parties before the termination of this Terms and Conditions, including but not limited to the non-breaching party pursuing corresponding breach of contract responsibilities according to this Terms and Conditions.

    Notice and Delivery

    You are aware and acknowledge that ChargeCore may notify you of important information through any one or more of the following methods depending on the situation:

    1. Send electronic messages to the phone number you submitted during registration;
    2. Sending paper-based information to the actual address you provided;
    3. Publish electronic information prominently on the website or the ChargeCore App;
    4. Send electronic messages through the ChargeCore website or corresponding client ChargeCore APP accounts.

    The above electronic information shall be deemed delivered upon successful sending or posting. The delivery of the relevant paper-based information shall be deemed delivered on the fifth natural day after the mailing date on the relevant mailing voucher. The above delivery methods are also applicable to the relevant arbitration or judicial procedures (including litigation, trial, execution, etc.). You shall ensure that the contact information you provide is accurate, valid, and timely updated. If the contact information you provide is inaccurate or you fail to update it and it is not attributable to ChargeCore, resulting in the failure or delay of delivery of relevant notices, documents, or legal instruments, you shall bear the legal consequences that may arise therefrom.

    Jurisdiction, Applicable Law and Dispute Resolution

    The formation, effectiveness, performance, interpretation and dispute resolution of this Terms and Conditions shall be governed by the laws and regulations of the mainland of the People’s Republic of China, and shall exclude the application of any conflict of laws rules.

    If a dispute arises between you and ChargeCore due to a product or service issue in a specific service, with respect to this Terms and Conditions, you agree to submit the dispute to the competent people’s court at the place where this Terms and Conditions is signed.

    The place of signing of this Terms and Conditions is Floor 4, Floor 11, Building 2, Jiangsu Science and Technology Finance Building, No. 21, Andemen Street, Yuhuatai District, Nanjing City, Jiangsu Province, China.
